Shareholder Derivative Defence: Tokyo and London

A group of activist shareholders brought coordinated derivative actions in the Tokyo District Court and the English Commercial Court, alleging breach of fiduciary duty by the board in connection with a major acquisition. We coordinated the defence across both jurisdictions, instructing leading local counsel in Tokyo while running the English proceedings ourselves. Both claims were dismissed at the preliminary stage. The English court awarded indemnity costs against the claimants.
